1. Who we are and scope
This website and online store are operated by Green Tools Tech d.o.o., Vukomerić 23/18, 10418 Vukomerić, Croatia, OIB/VAT ID HR28051579566 (“we”, “us”, “our”).
These Terms of Service (“Terms”) apply to all orders placed through this website and to all quotations, orders and deliveries we make to customers who refer to them.
A consumer is a natural person who buys for purposes outside their trade, business, craft or profession. A business customer is any natural or legal person who buys for purposes relating to their trade, business, craft or profession (including farms, growers, schools, associations and resellers). Some clauses apply only to consumers or only to business customers, as stated.
2. How a contract is formed
Products shown on the website are an invitation to order, not a binding offer. By completing checkout you make an offer to buy the products in your cart.
The automatic order confirmation email only confirms that we received your order. The contract is concluded when we accept your order by a separate email or by dispatching the goods, whichever comes first. If we do not accept an order, we refund any amount already paid in full and without delay.
We store your order details and you can view them in your customer account. These Terms are available on this page and can be saved or printed at any time.
3. Prices and payment
Prices are in euros (EUR) and include VAT where applicable. Shipping costs are shown at checkout before you place your order. For eligible business customers in other EU countries with a valid VAT ID, VAT may be charged under the reverse-charge mechanism.
Payment is accepted through Shopify Payments, PayPal or bank transfer and is due in full when you order, including for pre-orders and backorders, unless a different payment term is agreed in writing with a business customer.
If a product is shown with an obvious error in price or description, we may decline the order before the contract is concluded. If we discover such an error after the contract is concluded, we will contact you and you may choose to continue at the correct price or cancel for a full refund.
We may refuse an order where there are reasonable grounds to suspect fraud or a payment problem.
4. Pre-orders and backorders
Estimated shipping dates for pre-orders and backorders are shown on the product page. You may cancel a pre-order or backorder at any time before it is dispatched for a full refund.
5. Shipping and delivery
We currently deliver to all EU countries and, where offered at checkout or in a written quotation, to the United Kingdom, Norway and Switzerland. Delivery times are estimates; details, including customs and import charges for non-EU destinations, are set out in our Shipping Policy.
6. Ownership and risk
We retain ownership of the goods until we have received full payment.
Consumers: risk of loss or damage passes to you when you, or a person you nominate other than the carrier, take physical possession of the goods.
Business customers: risk passes to you when we hand the goods over to the carrier, unless otherwise agreed in writing.
7. Statutory rights for defective goods
Consumers: we are liable for any lack of conformity that exists when the goods are delivered and becomes apparent within two years of delivery, in accordance with applicable law. Your statutory remedies (repair, replacement, price reduction or termination) are not affected by these Terms or by our product guarantee.
Business customers: you must inspect the goods on receipt and notify us in writing of any visible defect, shortage or transport damage without delay and no later than 8 days after delivery, and of any hidden defect without delay after discovering it. Our liability for defects is limited to defects notified within 12 months of delivery. We will, at our choice, repair or replace the defective goods; if that is not possible within a reasonable time, you may request a price reduction or a refund. These limitations do not apply where we knowingly concealed a defect or acted with intent or gross negligence.
8. Green Tools TECH 10-year product guarantee
In addition to your statutory rights, Green Tools Tech d.o.o., Vukomerić 23/18, 10418 Vukomerić, Croatia (the guarantor) guarantees our products against defects in materials and workmanship for 10 years from delivery. Under this guarantee we will repair or replace the defective part or product or, if neither is possible, refund its purchase price.
The guarantee does not cover:
- normal wear and tear, including wear of blades, tines and other parts that contact soil;
- misuse, use for purposes other than those intended, improper maintenance or modification;
- damage caused by accident, neglect or unauthorised repair;
- corrosion caused by improper storage or prolonged exposure to moisture.
To make a claim, email bruno@greentools.tech with your order number or proof of purchase, a description of the problem and photos. We will tell you how to proceed. This guarantee is a voluntary commitment and does not limit or replace your statutory rights described in section 7.
9. Product use, safety and maintenance
Our tools are designed for professional and hobby use in gardening, small-scale farming and soil preparation. Many have sharp edges and metal components and can cause injury or damage if used improperly.
Please:
- wear suitable protective gear (gloves, boots and suitable clothing);
- use tools only for their intended purpose and as described in the product information;
- keep tools out of reach of children and untrained users;
- clean and dry tools after use and store them in a dry, covered place (zinc coatings can corrode under prolonged moisture);
- assemble tools only as instructed and do not modify them.
Failure to follow these instructions may void the product guarantee in section 8 and may affect liability as set out in section 11.
10. Right of withdrawal, returns and cancellations
Consumers in the EU may withdraw from a contract within 14 days of receiving the goods without giving a reason. You can withdraw through your customer account at account.greentools.tech or by sending a clear statement to bruno@greentools.tech. In addition, we offer a voluntary 30-day return option. Conditions, costs and refund timelines are set out in our Refund Policy.
Business customers have no right of withdrawal and are not covered by the voluntary return option unless agreed in writing.
11. Liability
Nothing in these Terms excludes or limits our liability for death or personal injury, for damage caused intentionally or by gross negligence, under mandatory product liability law, or for your statutory rights as a consumer.
Subject to the above, we are not liable for damage caused by use contrary to our instructions, misuse, improper installation or failure to follow product care instructions.
Business customers: subject to the first paragraph of this section, our total liability arising out of or in connection with any order is limited to the net price of that order, and we are not liable for indirect or consequential loss, including loss of profit, revenue, production, harvest or data.
12. Force majeure
We are not liable for delay or failure to perform caused by events beyond our reasonable control, such as natural disasters, war, civil unrest, labour disputes, transport disruptions, technical failures or actions of public authorities. We will inform you of the delay without undue delay. If the delay is significant, you may cancel the affected order and receive a refund for goods not delivered.
13. Business customers, wholesale and distributors
Wholesale and distributor sales are governed by separate written agreements, which prevail over these Terms where they differ. In all other sales to business customers, including sales on the basis of our quotations and invoices, these Terms apply. The business customer’s own terms and conditions do not apply unless we expressly accept them in writing.
14. Intellectual property
All content on this website, including text, images, graphics, product descriptions and trademarks, belongs to Green Tools Tech d.o.o. or its licensors. It may not be copied, reproduced or used without our prior written permission.
15. Privacy and data protection
We process personal data in accordance with the General Data Protection Regulation (GDPR). Details are in our Privacy Policy.
16. Complaints and out-of-court dispute resolution
You can send a complaint in writing to bruno@greentools.tech or by post to Green Tools Tech d.o.o., Vukomerić 23/18, 10418 Vukomerić, Croatia. We will confirm receipt and reply in writing within 15 days.
We are not obliged to and do not participate in alternative (out-of-court) dispute resolution procedures before a consumer dispute resolution body.
17. Governing law and jurisdiction
17.1 Governing law. These Terms and all contracts concluded under them are governed by the laws of the Republic of Croatia, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country where you have your habitual residence.
17.2 Business customers. If you buy as a business customer, the court with subject-matter jurisdiction in Zagreb, Republic of Croatia, has exclusive jurisdiction over all disputes arising out of or in connection with these Terms or any order, quotation, contract or delivery under them, including disputes about their formation, validity or termination and any non-contractual claims.
17.3 Consumers. If you are a consumer, you may bring proceedings against us before the competent court in Zagreb, Republic of Croatia, or before the courts of the country where you are domiciled. We may bring proceedings against you only in the courts of the country where you are domiciled. Nothing in these Terms limits your rights under mandatory consumer protection law.
18. Language and changes to these Terms
These Terms are available in English and in the other languages of our store. For business customers, the English version prevails in case of any discrepancy.
We may update these Terms from time to time. The version published on this page when you place your order applies to that order.
19. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
